Bill has been practicing law for over twenty-five (25) years.  He received his law degree from the University of Wisconsin - Madison in 1996 and his undergraduate degree from Carroll College in Waukesha, Wisconsin in 1992.

Business Law

Business Start-Ups.  Assisting in the organization of start-up ventures, including corporations, limited liability companies and limited liability partnerships, and assisting owners in developing contracts governing operations.
Contract Drafting & Negotiation.  Successfully negotiating and preparing numerous types of commercial contracts, including supply and distribution agreements, joint venture agreements, leases, confidentiality agreements, terms and conditions, non-compete agreements and employments agreements, to name a few.
Mergers & Acquisitions.  Representing companies, individuals and management teams in negotiating and structuring business asset and stock transactions, including mergers, acquisitions and sales as well as any related financing.

Buy-Sell Agreements.  Preparing agreements between owners for the restriction on the transfer of ownership interests and providing the structure the sale and purchase of interests in certain events such as an owner's death, disability, bankruptcy or termination of employment.
Succession Planning.  Working with closely-held business owners to develop and implement strategies to effectively transfer ownership and/or management of a business to family members and/or key employees.
Investment Offerings.  Advising individuals seeking funding to start a business venture as well as businesses needing additional money to grow in developing structures for the raising of capital through the offering of ownership interests, options and other rights. 


Real Estate and Construction

Real Estate Transactions.  Representing sellers and buyers in a variety of residential and commercial real estate transactions, including those relating to vacant land, office buildings, industrial facilities, houses, condominiums, residential investment property and farms, as well as transactions involving land contracts, options to purchase and rights of first refusal.
Lease Drafted & Negotiation.  Successfully negotiating and preparing lease agreements for all types of relationship structures and premises, including office leases, shopping center leases, industrial leases, triple net leases, gross leases, build-to-suit leases, ground leases and agricultural leases.
Construction Contracts.  Assisting in the negotiation and preparation of construction contracts for owners, tenants, design-builders, general contractors and subcontractors, including construction financing related matters.
Like-Kind Exchanges.  Preparing like-kind exchange agreements to qualify for tax deferred capital gain treatment under Internal Revenue Code Section 1031, including assisting in both forward and reverse exchanges.
Development.  Advising developers in obtaining the required zoning, subdivision and building approvals for real estate development projects, including securing approvals for subdivision plats and certified survey maps, preparing covenants and restrictions, and preparing easement agreements.
Conventional & Non-Recourse Financing.  Assisting investors and businesses in procuring, negotiating and closing on loans to finance projects, including obtaining conventional, and where available, limited or non-recourse financing.
